These Terms of Service constitute the full legal agreement between you and ZipBridge that governs your use of the ZipBridge teleconferencing service and website (“Service”). Your use of the Service constitutes acceptance of these terms. “You” refers to the individual or company who registered for the ResilienceOne BCM software provided by ZipBridge’s technology partner Strategic BCP.
ZipBridge will provide the Service in accordance with these Terms of Service. ZipBridge may, at its sole discretion modify features of the Service from time to time and if such changes are deemed material by ZipBridge, it shall use its best efforts to notify you. Because the use of the Service involves a telephone, hardware, software, and Internet access, your ability to use the Service may be affected by the performance of these components and you acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility to maintain.
Service offered on a best-efforts, as-is basis
You understand and acknowledge that the Service is being provided on a best efforts, as-is basis. ZipBridge has made its best efforts to test the product and to continue to support and maintain the service, but it may not work correctly at all times, or in all circumstances. You assume all risks and all costs associated with your use of the service, including: inability to initiate, complete or access a call, call quality, number of users on a call, call management, and any customer data stored on our systems.
Changing/Discontinuing the Service
ZipBridge reserves the right to modify, suspend or stop the Service (or any part thereof), either temporarily or permanently at any time or from time to time, however such changes of the service assuming it is planned in advance shall be proceeded with a notification to you.
ZipBridge is an embedded feature of ResilienceONE and is available for Unlimited Use by Strategic BCP clients based on this Acceptable Use Policy (AUP). Acceptable Use means ZipBridge is to be used for incident management in scenarios where you are also using the ResilienceONE application and all calls are being initiated from that application utilizing the ZipBridge API and that there is one active private bridge per ZipBridge account. Acceptable Use also includes training, table top exercises and the occasional operational calls by you with the team that utilizes the ResilienceONE application. Acceptable Use applies to call duration in that the service is to be used for actual group conversation and the bridge is not to be kept open as a virtual command post for people to call into on a random basis. Acceptable Use applies to the number of members permitted in a conference bridge which is limited to 20 members in a Group with a total of 40 active participants per bridge. Unlimited Use applies to outbound calling to numbers in the United States or Canada and for receiving inbound calls from anywhere in the world for inbound calling.
ZipBridge shall monitor usage and bring to the attention of Strategic BCP any use that appears to be outside of the AUP. ZipBridge shall not interrupt your service except for the cases outlined below. It will be Strategic BCP’s responsibility to contact you in a timely manner and advise you of your non-conforming use and determine if this use is expected to continue, and if so, allow you to purchase a supplemental minute plan to allow for the additional usage. If you do not expect the usage to continue then usage should immediately be reduced to be in compliance with the AUP.
ZipBridge reserves the right to disrupt or limit services in the following cases:
- Long Duration: Calls over 3 hours in duration will be taken down automatically. This is normally a case of someone placing a phone call on hold and keeping the bridge up by accident, but could be the result of your use of the service as a virtual command post which is outside of the AUP.
- Suspected PIN Fraud: If it appears the conferencing PIN has been compromised ZipBridge at its sole discretion will assign a new PIN to the account. Changing the PIN does not in any way effect your ability to use the ZipBridge services via the API.
- Members per Group: ZipBridge will only launch calls for 20 Members per Group. Any Members over the allowed 20 sent by the API will be ignored. Strategic BCP shall provide a warning to you before sending a Group of over 20 Members to be launched via the API.
- Inaction by Strategic BCP or you: If after two attempts in a two week period to contact Strategic BCP or Strategic BCP to contact you, usage is not brought into compliance with the AUP, or a supplemental minute plan purchased, ZipBridge reserves the right to give Strategic BCP notice and immediately inactivate the account.
Spam Phone Calls, SMS Messages or Email
You agree that you will not use the Service to initiate unwanted (Spam) phone calls, SMS messages or emails to anyone. Your further agree not to use the Service to communicate any message or material that is harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful. ZipBridge reserves the right to investigate and take appropriate action against anyone who, in ZipBridge’s sole discretion, is suspected of violating this provision, including without limitation, reporting you to law enforcement authorities.
You agree that you will not reproduce, copy, duplicate, sell, resell, rent or trade the Service (or any part thereof) for any purpose, without express consent of ZipBridge.
ZipBridge Proprietary Rights
You acknowledge that ZipBridge owns the Service, and that it contains proprietary and confidential information that belongs to us.
Modifications to Terms of Service
ZipBridge may amend these Terms at any time by posting a revised Terms of Service. You will be notified at the Email of Record of such changes only if ZipBridge at its sole discretion determines such changes are material to the use of the service.
You hereby agree, at your expense, to indemnify, defend, and hold ZipBridge harmless from and against any loss, cost, damages, liability, or claim related to your use of the Service.
These terms are governed in all respects by the laws of the State of Pennsylvania as such laws are applied. Both parties submit to personal jurisdiction in Pennsylvania and further agree that any cause of action relating to these Terms shall be brought in a court in Bucks County, Pennsylvania. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
